Job Title: Associate, Corporate | SPAC / Capital Markets Attorney
Our client, a full-service law firm in NYC, is seeking a Corporate Associate to focus on SPAC and capital markets transactions, supporting deal execution and advising clients on securities law and regulatory compliance. The ideal candidate will have 3–7 years of relevant experience.
Duties and Responsibilities
The Corporate Associate will focus on SPAC and related capital markets transactions.
• Advise clients on SPAC and other securities transactions, including IPOs, PIPEs, and private placements.
• Draft, review, and negotiate offering documents and transaction agreements.
• Manage deal execution in coordination with issuers, investment banks, auditors, and financial advisors.
• Communicate with the SEC, FINRA, and stock exchanges to obtain approvals and ensure compliance.
• Prepare and review public company filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Advise on corporate governance matters and assist with entity formation and organizational documents.
• Conduct due diligence and assist with transaction structuring.
Qualifications
• 3–7 years of capital markets experience (SPAC experience preferred).
• Admission to practice law in New York and active membership in good standing with the New York State Bar.
• Strong drafting, analytical, and organizational skills.
• Knowledge of securities laws and public company reporting requirements.
• Ability to manage multiple transactions in a fast-paced environment.
• Excellent verbal and written communication skills.
Salary: $188,000+ annually, depending on experience and year of law school graduation.
Work Environment: Hybrid; 3 days per week in the Midtown NYC office, including Mondays
