This opportunity is ideal for attorneys with significant experience in mergers and acquisitions, capital markets transactions, and complex corporate matters who are looking to advance their careers within a sophisticated transactional environment.


The successful candidate will work closely with public and private companies, investors, financial institutions, and business leaders on a broad range of strategic transactions. Key Responsibilities


• Handle sophisticated mergers and acquisitions transactions from inception through closing.

• Advise clients on public and private company acquisitions, divestitures, and strategic business transactions.

• Participate in capital markets offerings, securities transactions, and related corporate matters.

• Draft, review, and negotiate acquisition agreements, securities documents, disclosure materials, and transaction-related contracts.

• Conduct legal due diligence and assist with transaction structuring.

• Manage transaction timelines and coordinate with clients, opposing counsel, financial advisors, and internal teams.

• Maintain and strengthen relationships with sophisticated corporate clients.

• Provide strategic business-focused legal advice regarding transactional matters.

• Supervise and mentor junior associates on transactional assignments and deal execution.

• Handle day-to-day client needs while ensuring exceptional responsiveness and service.

• Collaborate across practice groups to support complex corporate and securities transactions.

Qualifications


• 3–6 years of relevant corporate transactional experience.

• Significant experience in mergers and acquisitions and/or capital markets transactions.

• Strong drafting, negotiation, and transaction management skills.

• Experience managing client relationships and serving as a key client contact.

• Ability to supervise and mentor junior attorneys.

• Outstanding academic credentials.

• Active Texas Bar admission required.

• Strong business judgment and commercial awareness.

• Excellent analytical and problem-solving abilities.

• Ability to manage multiple sophisticated transactions simultaneously.

• Commitment to delivering exceptional client service.
