The position is in Middle Market Banking and Specialized Industries' organization with a particular focus on Technology & Disruptive Commerce ("TDC") industry clients with revenues between $20mm and $500mm. The Technology & Disruptive Commerce underwriting team is responsible for the credit risk management of clients in the innovation economy with a specific focus on the software, hardware/systems, internet, IT services, emerging growth, and digital media sectors. Clients in each of these sectors are active users of traditional commercial banking services and investment banking products and covered by dedicated bankers dispersed throughout the US. These innovation economy industry verticals are high profile expansion markets that offer underwriters an opportunity to work on a high volume of transactions, in a fast paced and rapidly growing segment of the Commercial Bank.

The Associate is the primary credit risk manager for a portfolio of Middle Market Banking Technology & Disruptive Commerce industry clients and transactions. In this capacity, the Associate works in partnership with a team of Technology & Disruptive Commerce bankers and product partners to risk grade borrowers, analyze and approve credit requests, structure credit facilities, and negotiate credit agreements and other loan documentation. The Associate is also responsible for on-going monitoring and risk management of an assigned portfolio of credit clients. To be successful, this individual needs to develop a broad and deep understanding of the business, financial, competitive, and industry risks faced by clients in the assigned portfolio. The Associate will report to the Technology & Disruptive Commerce Group Credit Risk Director and be supported in his/her day-to-day work by a dedicated team of Analysts and fellow Underwriters that report to the same Credit Risk Director. The Associate will be expected to play an important role in mentoring and developing junior talent to enhance the performance of the broader team. The position is "client facing" and domestic travel will be required from time to time.

Job Responsibilities

Risk Assessment

  • Identify the key risk factors associated with clients, transactions, and industry sub-sectors across an assigned portfolio
  • Develop and articulate a dynamic, forward-looking risk assessment of client companies, transactions, competitive threats, and industry and other factors
  • Lead and/or participate in client due diligence meetings as necessary
  • Attend client, bank, and other meetings to develop a better understanding of client companies, management teams, and industry sectors
  • Use financial models to incorporate the impact of forward-looking risk assessment on key value drivers
  • Develop and recommend appropriate credit structures relative to risk assessment

Credit Approval Process

  • Apply corporate finance and accounting expertise to develop appropriate financing structures
  • Prepare credit approval materials, ensure all credit risk policies are followed, and present and recommend credits for approval at the appropriate level
  • Analyze and negotiate covenants and other terms and conditions as part of a deal team
  • Review and negotiate legal documentation to ensure terms are appropriate and consistent with credit approval

Portfolio Management

  • Provide a well-researched and thoughtful risk assessment of each assigned client on an ongoing basis
  • Ensure risk ratings are accurate and reflect a current forward-looking view of the client
  • Provide early identification and proactive management of deteriorating credits and other problem situations
  • Analyze, prepare, and present for approval all required waivers, amendments, and extensions
  • Prepare and present semi-annual portfolio review material to senior management
  • Work with bank examiners and internal credit reviewers to validate credit quality and integrity of the credit process
  • Work closely with PMAs/Credit Assistants to ensure accuracy of credit system data
  • Assist Credit Risk Director in training and developing analysts

Required Qualifications, Capabilities and Skills

  • BA/BS/BBA degree is required, MBA is a plus
  • Completion of a major corporate or commercial bank credit training program (or the equivalent corporate banking/corporate finance experience) and a thorough understanding of bank credit policies and procedures
  • Minimum of 3-4 years' experience in commercial banking/lending including extensive credit analysis, structuring and loan documentation experience
  • Significant accounting and finance knowledge and superior financial modeling skills
  • Strong working knowledge of credit agreements and other loan documentation along with solid negotiation skills
  • Demonstrated excellent verbal and written skills, interpersonal skills, and analytical and problem-solving skills
  • Excellent organizational and project management skills; able to manage competing priorities under tight deadlines
  • Proven ability to collaborate and build strong partnerships.
  • Intellectual curiosity with a proven ability to learn quickly
  • High degree of initiative, self-direction, and ability to work well under pressure
