About the Firm We are a well-established, AV-rated mid-sized law firm serving the greater Washington Metropolitan area. Our corporate group is expanding, and we are looking for a driven mid-level attorney to join our team.
The Opportunity & The Lifestyle This is not a standard associate role where you will be relegated to document review or handling "mini parts" of a massive deal. This is a direct succession opportunity. You will work side-by-side with highly respected senior partners—including a former President of the Maryland State Bar Association—who will mentor you to eventually take the reins of a thriving corporate practice.

What You Will Do
- Take ownership of corporate and business transactions from inception to closing.
- Draft, review, and confidently negotiate core corporate governance documents, including shareholder agreements, operating agreements, and bylaws.
- Advise clients on business formation, asset and stock purchase transactions, and general corporate strategy.
- Draft and negotiate employment agreements, non-competes, and up-to-date employment policies (prior employment law experience is a plus, but not strictly required).
- Work collaboratively within a lean, highly supportive 15-attorney firm where your input directly impacts the outcome of the deal.
Who You Are
- Experience: 3 to 5 years of hands-on experience in business and corporate transactional law. (Candidates from small-to-mid-sized firms who are used to wearing multiple hats are highly encouraged to apply).
- Bar Admission: Active admission to practice in Maryland is required. Admission in VA and/or D.C. is a strong plus.
- Skills: Excellent drafting and analytical skills, meticulous attention to detail, and a desire to see a deal through from start to finish.
- Business Development: Portable business is welcome and will be highly rewarded, but it is not required for this role.
Compensation & Benefits
- Base Salary: $120,000 – $150,000 (Dependent upon experience).
- Aggressive Bonus Structure: Highly lucrative quarterly bonus plan based on origination and working attorney receipts, complete with an annual true-up.
