Our client serves as trusted counsel for individuals and small and mid-sized businesses across the Commonwealth of Kentucky and beyond, providing counsel on corporate, M&A, labor-and-employment, and litigation matters. They are seeking an experienced Corporate/M&A Attorney who will lead the expansion of the Corporate and M&A practice.


Key Responsibilities:

  • Lead mergers & acquisitions transactions from initial client engagement through closing and post-close integration
  • Manage both buy-side and sell-side transactions across a range of deal sizes and structures
  • Conduct and oversee due diligence, including pre-LOI analysis through closing
  • Draft, review, and negotiate key transaction documents (LOIs, purchase agreements, ancillary agreements)
  • Advise clients on deal structuring, financial considerations, and risk mitigation strategies
  • Serve as the primary point of contact for clients throughout the transaction lifecycle
  • Collaborate with internal teams to cross-sell additional firm services where appropriate
  • Contribute to the growth and strategic direction of the firm’s corporate/M&A practice


Qualifications:


  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to practice in the Commonwealth of Kentucky (out-of-state candidates willing to sit for the Kentucky bar exam or eligible for admission in Kentucky will be considered).
  • 7–10+ years of experience in corporate law with a strong emphasis on M&A transactions
  • Prior law firm experience strongly preferred
  • Demonstrated ability to independently lead and close transactions
  • Experience handling both buy-side and sell-side deals
  • Strong understanding of financial statements, valuation concepts, and deal structures
  • Excellent drafting, negotiation, and client management skills
