Associate General Counsel - Corporate and Securities

Our client, a publicly traded chemical manufacturing company, is seeking a Corporate & Securities Counsel to support its securities reporting, corporate governance, and capital markets activities. This attorney will manage key public company disclosures, oversee Section 16 and SEC filings, support Board and committee governance, and collaborate with Finance, Investor Relations, and senior leadership on accurate and timely reporting. The ideal candidate brings strong public company experience, excellent drafting skills, and the ability to manage multiple workstreams in a fast‑moving environment.


AGC Corporate & Securities Key Responsibilities:

  • Prepare, review, and file 10‑Ks, 10‑Qs, 8‑Ks, and all Section 16 reports
  • Lead drafting and coordination of the annual proxy statement and related shareholder materials
  • Support planning and execution of the annual stockholder meeting
  • Advise on corporate governance matters, including Board and committee materials, governance policies, and evolving best practices
  • Maintain corporate records and support documentation for Board actions
  • Collaborate with internal teams on disclosure controls, including environmental and regulatory‑related reporting
  • Support capital markets activities, including offering documents, due diligence, and transactional disclosures
  • Monitor SEC, NYSE/Nasdaq, and governance developments and advise stakeholders
  • Partner with Finance and Investor Relations on earnings‑related disclosures and external communications
  • Coordinate with outside counsel on securities and governance matters as needed

AGC Corporate & Securities Qualifications:

  • J.D. from an accredited law school
  • 5-12 years of corporate and securities experience (law firm and/or in‑house)
  • Strong public company reporting experience, including 10‑Ks, 10‑Qs, 8‑Ks, and Section 16
  • Solid understanding of SEC regulations, corporate governance requirements, and stock exchange rules
  • Experience supporting Boards and preparing governance documentation
  • Exposure to capital markets transactions preferred
  • Excellent drafting, communication, and organizational skills
  • High level of professionalism, judgment, and attention to detail
