Private Equity Firm in Midtown, Manhattan is seeking an Associate Counsel for a full-time position!
Responsibilities:
Provide legal support and guidance on debt investments across the capital structure.
Work closely with investment professionals to assess legal risk and develop practical solutions.
Advise on legal and transactional aspects of the firm’s credit investments, financing arrangements, fund structures, and related initiatives.
Review, draft and negotiate documents including credit agreements, confidentiality agreements, side letters, financing documents and investment-related contracts.
Coordinate with outside counsel on fund formation, financing, regulatory and transactional matters.
Qualifications:
JD from an accredited law school and member of a state bar
5+ years’ experience in a law firm or corporate legal department environment on the finance side
Strong background in finance, credit, private funds, structured finance, or related areas
Experience with credit asset management, private credit, or special situations investing preferred
Strong understanding of legal and regulatory framework applicable to investment advisors and private funds
