THE ROLE

HSS is recruiting an Assistant General Counsel, Corporate Strategy. Reporting to the Deputy General Counsel, Innovation and Corporate Strategy, and the Executive Vice President and Chief Legal Officer, this Assistant General Counsel will be responsible primarily for supporting current and new initiatives and a wide range of transactions relating to HSS's ambitious and exciting growth strategy, including the continued expansion in NY, NJ, CT and Florida and development of strategic partnerships nationally and internationally.

This is a full-time position. It is presently offered under a hybrid model, with three set days in the office (Tuesday through Thursday) and two days remote (Mondays and Fridays), and with the understanding that the demands of the position may require in-office presence more frequently and that the hybrid program is a pilot program subject to change. The Legal Department is currently located at 777 3rd Avenue, NY, NY.

Major Duties and Responsibilities

Support the provision of legal services for strategic corporate transactions and relationships. Participate in the design, development and negotiation of corporate structures and transactions, and service arrangements and collaborations, including, for example, those concerning the syndication, acquisition and administration of health care facilities and services. Draft term sheets, corporate documents, and definitive agreements, as well as presentations for internal communications and approvals. Manage due diligence for strategic investments and corporate transactions, including in coordination with the Compliance Department. Coordinate with business leaders to support licensure and accreditation efforts, operations and governance of facilities and services. Manage a cumulative portfolio of legal documents, and counsel business leaders on the legal rights and obligations of the parties and the practical application of the terms and conditions set forth in the documents. Support the provision of health care regulatory guidance, including, for example, guidance under federal and state laws concerning fraud and abuse, self-referral and fee-splitting prohibitions, privacy and security, antitrust, and non-profit operations and governance. Develop primary expertise in such traditional health care regulatory law as it may relate to the corporate transactions and relationships. Support legal services generally, covering other matters as needed, such as general corporate matters and institutional purchase and service agreements. Assist in the management and oversight of outside legal resources.

CANDIDATE PROFILE

The ideal candidate will be dedicated attorney with at least three years of health care transactional and regulatory experience in private practice with a well-regarded regional, national or international law firm with a sophisticated and active health care department or service group. The ideal candidate will have experience working with non-profit institutions and demonstrate working knowledge (commensurate with the candidate's years of practice) of the Federal anti-kickback statute (and EKRA), its associated regulations and safe harbors, and the Stark law, as well as an understanding of corporate practice prohibitions, HIPAA, antitrust and non-profit governance and operations.

Education / Work Experience

Advanced degree (JD).

Minimum 2 years (preferred 3 years) in private practice with a law firm with a dedicated health care department or service group. Experience that is consistent with or otherwise supportive of the candidate's ability to fulfill the major duties and responsibilities for this role.
