We are seeking a highly skilled and motivated Tax Attorney to join our growing team. This strategic role will primarily focus on M&A tax structuring, trust and estate planning and compliance, and a limited advisory role in in-house legal counsel matters. The ideal candidate will be a technical contributor with the ability to navigate complex tax issues while supporting our existing client base.
This position is based in our Downtown Cleveland, Ohio office.
Key Responsibilities include:
M&A Tax Structuring
• Provide expert guidance and analysis on M&A tax structuring, including asset versus stock sales, gross-ups, tax-free rollovers, and transaction-specific parameters.
• Support client-focused M&A activities by collaborating with internal teams and clients on the tax and accounting aspects of transactions.
• Serve as an integral contributor to the firm’s M&A tax expertise.
Trust & Estate Planning and Compliance
• Act as the firm’s lead technical advisor on complex estate, trust, and wealth transfer planning for business owners, high-net-worth individuals, and family offices.
• Oversee the firm’s trust tax compliance practice, including Forms 1041 and 5227.
• Experience with individual tax returns is helpful but not required.
Internal Consulting & Legal Support
• Provide tax consulting expertise to internal teams and existing clients.
• Offer legal guidance and support to the Managing Partner and Management Committee.
• Coordinate and collaborate with the firm’s outside legal counsel.
• Review and advise on contracts, including client engagement letters, vendor agreements, and business association agreements.
Qualifications
• Juris Doctor (JD) degree.
• Proven experience in M&A tax, with a strong understanding of tax structuring and related complexities.
• Experience with trust and estate tax compliance, including Form 1041 preparation and related document review.
• Five to seven (5–7+) years of relevant experience preferred; demonstrated skills and potential are valued over strict tenure requirements.
• Strong analytical and problem-solving capabilities.
• Ability and willingness to learn and adapt to additional areas of practice, such as benefit plans and executive compensation.
• Excellent written and verbal communication skills with a collaborative mindset.

Compensation
Market-driven compensation, with a typical base salary range of $150,000 to $200,000+, commensurate with experience and qualifications.
