About the Opportunity
A premier global Am Law firm is seeking a mid-to-senior level Associate (2-7 years) to join its elite Real Estate practice in Atlanta. This role offers the unique opportunity to work directly alongside top-tier partners, including firm leadership, handling some of the most sophisticated, high-value, and specialized real estate transactions in the world.
Associates in this group do not just handle standard commercial real estate; they gain exposure to multi-billion-dollar fund formations, global timberland acquisitions, and luxury Caribbean hospitality developments.
The Practice
The Atlanta-based team advises a blue-chip client base consisting of institutional investors, insurance companies, national developers, publicly traded REITs, and real estate sponsors. The practice spans complex domestic urban developments and extensive cross-border transactions throughout the Americas, Asia, and the Caribbean.
Core areas of focus include:
- Fund Formation & Joint Ventures: Structuring open- and closed-ended private equity real estate investment funds, programmatic JVs, and complex equity platforms.
- Mega-Project Development: Advising on complex, urban developments and investments ($200 million to $2 billion+) across multifamily, office, retail, industrial, and senior-living sectors.
- Global Timberland & Climate Solutions: Executing landmark, market-making timberland transactions (acquisitions, dispositions, financings, and supply agreements) across the US, Brazil, Central America, China, and Oceania.
- Hospitality & Resorts: Handling all aspects of hotel and resort acquisition, development, and finance (including management contracts and franchising), with a distinct focus on projects in the Caribbean and Latin America.
- Managing multi-billion-dollar real estate acquisitions, dispositions, and recapitalizations.
Responsibilities
- Draft, review, and negotiate highly complex transactional documents, including joint venture agreements, fund formation materials, and purchase and sale agreements.
- Manage large-scale domestic and international deal logistics, including multi-jurisdictional acquisitions and massive land transfers.
- Draft and negotiate specialized real estate agreements, including hotel management contracts, timber supply agreements, and commercial leases.
- Advise institutional clients on equity formation, construction financing, and strategic real estate investments.
- Assume significant responsibility in managing deal teams and serving as a primary point of contact for sophisticated institutional clients.
Qualifications
- 2 to 7 years of commercial real estate transactional experience.
- Specific experience in private equity fund formation, joint ventures, complex commercial development, or specialized asset classes (hospitality/timber) is highly preferred.
- Admission to the Georgia Bar (or ability to obtain promptly).
- Exceptional drafting and analytical skills, with a proven ability.
- A global mindset and the capability to coordinate cross-border transactions.
