Responsibilities

  • Draft, review, and prepare corporate legal documents including articles of incorporation, merger agreements, stock certificates, and resolutions
  • Draft and negotiate commercial contracts such as non-compete, confidentiality, and licensing agreements
  • Prepare and file UCC financing statements, lien filings, and other secured transaction documents with federal and state agencies
  • Assist with due diligence, review and organize documents, comment on disclosure schedules, and manage document inventories
  • Maintain and organize corporate records, including minute books and stock ledgers
  • Prepare and file regulatory filings with the SEC, IRS, and state offices across multiple jurisdictions
  • Support corporate maintenance activities including annual reports, compliance calendars, and record updates
  • Oversee contract lifecycle processes from drafting and negotiations to execution and tracking
  • Assist attorneys with corporate finance transactions, securities offerings, and venture capital deals


Qualifications

  • 3+ years of corporate legal experience, particularly in transactional law, securities, and governance
  • ABA-approved paralegal certification or equivalent legal certification
  • Strong knowledge of corporate law, securities regulations, and filing requirements
  • Experience with legal document drafting, review, and management
  • Familiarity with corporate compliance, governance procedures, and legal research tools
  • Ability to prioritize multiple projects and work independently in a fast-paced environment
