Key Responsibilities:

Contracts & Originations

· Prepare, proof, and manage loan and small-business financing documentation (including personal guarantees as applicable), rider schedules, amendments, and notices.

· Coordinate document execution, version control, and closing packages; ensure clean, audit-ready records.

· Conduct UCC-1 filing and UCC search workflows; monitor expirations/continuations and handle terminations.

· Maintain and improve template libraries and document checklists; use clause playbooks for speed and consistency.

Compliance & Policy Execution

  • Support compliance with Virginia Small Business Financing Disclosure requirements and other state disclosure laws where we operate; assist with internal checklists and attestations.
  • Ensure appropriate ECOA/FCRA practices (e.g., permissible purpose, adverse action notices where applicable to guarantors/co-applicants) in collaboration with Credit and Operations.
  • Help maintain internal GLBA data privacy procedures (secure transmission, PII handling, vendor diligence) and record retention controls.

Litigation/Collections Support

  • Partner with our collections team on defaulted files: organize case materials, demand letters, payment agreements, and settlement documentation.
  • Coordinate with outside counsel: intake, engagement letters, matter setup, e-filing support, exhibits, proof of service, hearing calendars, and discovery materials.
  • Track litigation milestones, rulings, and costs.

Legal Operations & Cross-Functional Projects

  • Build and maintain matter tracking dashboards (e.g., in Excel/Google Sheets/CRM); generate weekly status reports.
  • Own registered agent and corporate governance calendars (licenses, registered filings, annual reports).
  • Support subpoena responses and records requests with appropriate privilege and confidentiality controls.
  • Drive continuous improvement by documenting SOPs, closing gaps, and automating repetitive steps.
  • Perform additional tasks and duties reasonably related to job responsibilities, as needed.

Qualifications

  • Bachelor’s degree or equivalent work experience required.
  • A paralegal certificate from an accredited program is preferred.
  • 2–3 years of experience as a Legal Administrative Assistant or Paralegal.
  • Experience in legal collections preferred, but not required.
  • Familiarity with Virginia court procedures in commercial matters, including filing practices, motion scheduling, and case management in Virginia Circuit and General District Courts, and coordination with outside counsel as needed.
  • Working knowledge of Article 9 of the Uniform Commercial Code (UCC), including preparation and filing of UCC-1 Financing Statements, amendments (UCC-3), lien searches, and collateral perfection procedures with the Virginia State Corporation Commission (SCC) and other jurisdictions as applicable
  • Strong drafting and document management discipline, with the ability to maintain accurate legal and compliance records
  • Familiarity with state small-business financing disclosure frameworks (Virginia preferred) and working understanding of ECOA/FCRA touchpoints in small-business credit.
  • Excellent drafting, proofreading, and detail orientation; ability to juggle multiple matters with tight deadlines.
  • Strong organizational skills with the ability to multitask, prioritize, and adapt to changing demands.
  • Proficiency in Microsoft Office (Word, Excel, PowerPoint); familiarity with Salesforce or other CRM systems is desirable.
  • Ability to learn and manage multiple software applications.
  • Strong work ethic and attention to detail.
  • High level of discretion and professionalism in handling sensitive information.
