About the Opportunity:
We are representing an entrepreneurial, high-performing, and Chambers-recognized premier Corporate Practice Group seeking a Junior Partner (Non-Equity) to join their team. This role is specifically designed for a sophisticated mid-market M&A attorney who has outgrown the traditional senior associate track and is ready to take a leadership seat—driving high-caliber transactions, managing core client relationships, and actively contributing to the firm's strategic growth.

Responsibilities Include:
• Transaction Leadership: Structuring, negotiating, and driving sophisticated middle-market mergers and acquisitions, joint ventures, private equity transactions, and strategic asset/stock dispositions from inception to close as the lead or co-lead deal mechanic.
• Client Advisory & Counsel: Serving as the primary point of contact for business owners, founders, family offices, and private equity sponsors, guiding them through complex deal architecture (including rollover equity, representation and warranty insurance, and earn-outs).
• Deal Team Coordination: Overseeing and managing the entire transaction lifecycle, coordinating cross-functional teams including tax specialists, employment counsel, paralegals, and junior associates to ensure seamless execution.
• Business Development & Cross-Selling: Actively cultivating a personal network to originate corporate and transactional matters while strategically cross-selling deep in-house Real Estate, Tax, and Commercial Litigation capabilities.
• Sophisticated Document Drafting: Reviewing and drafting definitive transaction documents (including stock/asset purchase agreements, complex LLC operating agreements, and transition services agreements) with elite attention to detail.
• Practice Integration: Partnering with Equity leadership to optimize corporate practice group efficiency, leveraging modern legal technologies and AI tools to maximize deal velocity and client value.
Candidate Qualifications:
• 8+ years of sophisticated Corporate and M&A practice experience, with a heavy emphasis on middle-market transactions. Exposure to media/entertainment, technology, consumer products, or real estate joint ventures is highly valued.
• Proven Deal Track Record: Extensive experience leading the negotiation of primary transaction documents and managing multi-million dollar closing processes.
• Commercial Acumen: A demonstrated aptitude or strong foundation for business development, with a modest portable book of business preferred (or an actionable, strategic plan to transition existing relationships).
• Leadership Excellence: Exceptional drafting, commercial negotiation skills, and a natural ability to confidently advise founders and C-suite executives through high-stakes transitions.
Position Details & Culture:
• Billable Target: 1,800 hours (Inclusive of credit for approved firm development, client pitches, and associate mentorship).
• Work From Home Available: Yes, hybrid schedule of 2-3 days a week.
• Firm Support: Dedicated Business Development & Marketing Budget to expand your practice.
Salary and Other Compensation:
The annual salary for this position is between $300,000 – $400,000 Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate. (Please Note: This role also features a highly competitive, transparent origination bonus structure).
