About This Position

Reports to: General Counsel
We are seeking a highly motivated Legal Counsel / Senior Counsel to support our active M&A pipeline and the diverse needs of our growing operational renewable energy portfolio. Reporting to the General Counsel, this individual will play an integral role in all aspects of the company’s business. This is a highly visible role, offering an opportunity to work on a wide range of matters: acquisitions, project repowerings, commercial contracts, and day-to-day corporate, operational and asset management activities.
Responsibilities & Duties
- M&A Transaction Execution: Manage and actively provide legal support for company acquisitions, including negotiation support, drafting (e.g., letters of intent, purchase and sale agreements, ancillary documents), managing and performing legal due diligence, supporting the procurement of representation and warranty insurance, completing and coordinating legal interim period activities (e.g., consents, approvals, notices), managing legal closing logistics, and engaging in post-closing integration activities.
- Project and Portfolio Optimization: Manage and actively provide legal support for commercial contracting, including physical and virtual power purchase and other offtake agreements (e.g., EEI, ISDA, bespoke agreements, REC purchase agreements), equipment and services agreements (for both ongoing operations and repowering), tax equity investment agreements and tax credit purchase and sale agreements (and related memoranda, opinions, and insurance), and various other corporate and project agreements.
- Operations: Manage and provide legal support for operational matters, including preparing and maintaining organizational and governance documents, performing and supporting compliance efforts (e.g., contractual, financing, legal, regulatory), issue resolution, miscellaneous contractual negotiations and amendments (e.g., non-disclosure agreements, acquisition services agreements, software licenses, etc.), and managing other corporate legal matters (e.g., development of policies and procedures), if and as applicable.
- Team Leadership: Contribute to building team processes (including incorporation of AI), playbooks, and form agreements.
Preferred Background
- JD and admission to practice and in good standing in at least one U.S. jurisdiction.
- Minimum of 3-6 years of experience for Counsel and 7+ years for Senior Counsel.
- Top law firm experience.
Qualifications And Skills
- Renewable energy experience strongly preferred; other energy and/or power industry experience will be considered.
- Significant experience in at least two of the areas detailed above: M&A Transaction Execution, Project and Portfolio Optimization, and Operations.
