We are seeking a Mid-Level Corporate Associate Attorney with strong M&A experience to join the firm’s busy and growing Corporate practice. This role offers the chance to take the lead on middle-market transactions, work closely with senior attorneys and partners, and gain broad exposure across corporate, financing, and commercial matters.
Key Responsibilities:
- Lead and support M&A transactions ranging from $20M–$100M, with occasional deals up to $300M.
- Draft and negotiate key corporate agreements, including purchase agreements, LLC agreements, shareholder agreements, and financing documents.
- Manage due diligence, coordinate with tax, employment, real estate, and IP specialists, and ensure smooth execution of transactions.
- Supervise and collaborate with junior attorneys and work directly with partners on strategy and deal execution.
- Serve as the primary point of contact on transactions, leading drafting responsibilities and client communications with partner oversight.
- Contribute to the firm’s collaborative culture and participate in client development and networking opportunities.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Admission to the bar in Pennsylvania (or ability to waive in).
- 4–7 years of corporate law experience, with significant hands-on exposure to M&A transactions.
- Demonstrated ability to draft and negotiate core transaction documents with minimal supervision.
- Experience with related corporate matters such as convertible notes, financing deals, and governance agreements is a plus.
- Strong organizational skills and the ability to manage multiple matters and deadlines.
- Team-oriented mindset with excellent communication and client-service skills.
