Intellectual Property Attorney

Associate Attorney – IP Transactional (4–5 Years Experience)

📍 Austin, TX / Nashville, TN

A leading law firm is seeking a mid-level Associate Attorney to join its IP Transactional practice group. This is an exciting opportunity to work at the intersection of technology, intellectual property, and data privacy, advising clients on cutting-edge and complex commercial transactions.

What You’ll Do:

• Draft and negotiate licensing, software, SaaS, and commercial agreements
• Advise on M&A, joint ventures, and strategic transactions
• Conduct and manage IP due diligence processes
• Prepare and review:
• Terms of Service (TOS)
• End User License Agreements (EULA)
• Privacy & Security Policies
• Subscription, referral & distribution agreements
• Handle trademark clearance, prosecution, and enforcement
• Advise clients on emerging technologies (AI, ML, Web3, digital media, etc.)
• Provide guidance on branding, marketing & FTC compliance

What We’re Looking For:

• 4–5 years of experience in IP/technology transactions
• Strong background in commercial contracts and IP advisory
• Experience with U.S. and international trademark & copyright law
• Exposure to emerging tech and digital innovation
• Excellent drafting, negotiation, and communication skills
• Strong academic credentials

Nice to Have:

• Experience with data privacy laws (GDPR, CCPA, COPPA)
• Knowledge of ADA/WCAG accessibility standards
• Background in digital advertising compliance
• Patent prosecution experience (life sciences/chemistry preferred)
