About the Role

A leading global investment manager is seeking a Director, Deal Structuring & Negotiation to architect, negotiate, and execute complex financing solutions for top‑tier private markets managers across Private Equity, Credit, Real Estate, and Infrastructure. This is a high‑impact, front‑end role for a strategic dealmaker who enjoys shaping structures, navigating sophisticated counterparties, and driving transactions from concept through close.

You will serve as the central force behind the deal, partnering with investment teams, external counsel, borrowers, co‑lenders, and internal leadership to craft commercially robust structures and negotiate terms that balance creativity, risk, and execution excellence.

What You’ll Lead

  • Own the structuring strategy for complex credit facilities from initial concept through documentation, negotiation, and execution.
  • Lead negotiations with borrowers, legal counsel, administrative agents, and internal stakeholders to deliver commercially sound, scalable financing solutions.
  • Serve as a key deal team leader, drafting, reviewing, and negotiating transaction documentation while ensuring alignment across investment, operations, and onboarding teams.
  • Challenge assumptions and propose innovative structures, influencing deal design and commercial outcomes.
  • Build and maintain deep relationships with borrowers, co‑lenders, and service providers, leveraging your network to enhance platform positioning.
  • Translate investment goals into operationally executable structures, designing bespoke solutions across ABL secured lending, CFOs/Rated Feeders, NAV facilities, Secondaries, GP facilities, and multi‑jurisdictional structures (Delaware, UK, Cayman, Luxembourg, Jersey, Guernsey, Ireland, Scotland).
  • Oversee the full lifecycle of each facility, including deliverables, KPIs, and periodic reviews with borrowers and partners.
  • Identify key structural and risk factors in new facilities and articulate clear mitigation strategies to internal and external stakeholders.

What You Bring

  • Deep experience structuring and negotiating complex credit facilities.
  • Strong command of legal documentation and deal mechanics.

  • Analytical rigor, commercial judgment, and real‑time problem‑solving skills.
  • Experience with private markets financing structures (NAV, hybrid, ABL, GP, secondaries, etc.) preferred.
  • A relationship‑driven mindset and confidence in leading negotiations with sophisticated counterparties.


Compensation


Base salary range: $150,000–$180,000, depending on experience, plus competitive incentive programs.
