Key Responsibilities
• Manage venture capital financings and M&A transactions from inception through closing.
• Draft and negotiate complex transactional documents, including financing agreements and acquisition documents.
• Conduct legal research and provide strategic guidance on corporate matters.
• Advise emerging companies and institutional investors on growth, governance, and compliance.
• Build and maintain strong client relationships through consistent communication and strategic counsel.
• Collaborate with cross-functional legal teams to support deal execution and client objectives.
• Participate in negotiations, deal structuring, and transaction strategy development.

Qualifications
• Minimum 4+ years of experience as a Corporate Attorney, M&A Attorney, or Venture Capital Attorney.
• Strong experience in venture capital financings, emerging companies representation, and M&A transactions.
• Active Florida Bar membership required (FL Bar required).
• Excellent drafting, analytical, and negotiation skills.
• Strong attention to detail and ability to manage multiple complex transactions.
• Ability to work independently while collaborating within a team environment.
