We are partnered with a premier mid-size full-service AM 200 firm, who are seeking to strengthen its Corporate practice by adding a mid-level Corporate Associate in Boston. This is an excellent opportunity to work on lean deal teams providing strong exposure to a broad range of sophisticated transactional matters, with clear and structured career progression.


Key Requirements:

  • J.D. and admission in good standing in the jurisdiction where you plan to practice
  • 4–8 years of corporate transactional experience, with a strong focus on mergers & acquisitions
  • Demonstrated experience handling both buy-side and sell-side M&A transactions
  • Experience across a variety of corporate matters, including private equity, venture financings, joint ventures, and capital markets
  • Strong drafting and negotiation skills, including experience with key transaction documents (e.g., asset purchase agreements, stock purchase agreements, merger agreements, operating agreements, disclosure schedules)
  • Proven ability to manage complex transactions with attention to detail and efficiency
  • Excellent writing, research, communication, and client service skills
  • Ability to work both independently and collaboratively within a team-oriented environment


Key Responsibilities:

  • Manage all phases of the deal lifecycle, from term sheet through closing
  • Lead and support M&A transactions, including due diligence, structuring, negotiation, and execution
  • Draft, review, and negotiate a wide range of corporate transaction documents
  • Advise clients on corporate governance and general corporate matters
  • Collaborate closely with partners and clients on sophisticated transactional matters
  • Coordinate with cross-functional teams to ensure seamless deal execution
  • Contribute to a collaborative and high-performing team environment


This position offers an exciting opportunity to work on complex and high-value transactions within a supportive and collegial team. The firm offers a hybrid working model, allowing attorneys to work remotely two days per week.
