A prestigious law firm is seeking a Corporate M&A Associate Attorney to join its growing corporate practice in Los Angeles. This opportunity is ideal for attorneys with strong transactional experience who are looking to play a significant role in complex mergers and acquisitions while working directly with clients, investors, business owners, and corporate leadership teams.


The successful candidate will handle a broad range of corporate transactions, including acquisitions, mergers, strategic investments, and related business matters. Attorneys will receive meaningful responsibility early in their careers and will have the opportunity to manage significant portions of transactions while working alongside highly accomplished corporate practitioners.

Key Responsibilities


• Manage and execute mergers and acquisitions transactions from inception through closing.

• Conduct legal due diligence reviews for acquisitions, mergers, and strategic investments.

• Draft, review, and negotiate purchase agreements, disclosure schedules, and related transaction documents.

• Coordinate transaction processes among clients, opposing counsel, and internal legal teams.

• Assist with transaction structuring and strategic planning.

• Support clients with corporate governance and related business matters.

• Participate in negotiations involving complex business transactions.

• Develop and maintain client relationships through responsive and practical legal counsel.

• Work collaboratively with attorneys across multiple practice areas to facilitate transaction success.

• Travel as necessary to support client needs and transaction requirements.

Qualifications


• 2–5 years of corporate transactional experience.

• Significant experience handling mergers and acquisitions transactions.

• Strong drafting and negotiation skills.

• Demonstrated ability to manage transactions independently.

• Active California Bar admission or eligibility to sit for the California Bar Examination.

• Strong academic credentials from an ABA-accredited law school.

• Excellent analytical and problem-solving abilities.

• Strong client service and communication skills.

• Ability to work effectively in a fast-paced transactional environment.

• Ownership mentality and ability to handle substantial responsibility.
