Corporate, M&A and Securities Attorney

The Position:

A leading U.S. law firm is seeking a Corporate & Securities Associate to join its Nashville office. This is an opportunity to work on sophisticated corporate transactions for a diverse client base that includes public companies, private equity sponsors, and private businesses across a wide range of industries.

Associates in this practice advise on complex mergers and acquisitions, private equity transactions, capital markets matters, and corporate governance issues. The role offers exposure to high-profile and high-value deals, including cross-border transactions and strategic acquisitions, as well as the opportunity to support public company clients on securities and regulatory matters.

You will work closely with experienced partners and clients, taking on meaningful responsibility in transaction execution, drafting key deal documents, managing diligence processes, and advising on strategic corporate matters.

Key Responsibilities:

• Advising private equity sponsors, portfolio companies, and public and private companies on M&A transactions and strategic investments
• Supporting capital markets transactions and securities compliance matters
• Assisting with SEC reporting, corporate governance, and shareholder-related issues
• Drafting and negotiating transaction documentation and managing deal processes
• Collaborating with multidisciplinary teams on complex and often cross-border transactions

Candidate Profile:

• 3–5 years of sophisticated corporate transactional experience
• Strong experience representing private equity firms, portfolio companies, or public companies in M&A transactions
• Exposure to SEC reporting, capital markets, or corporate governance matters is advantageous
• Excellent analytical, drafting, and communication skills
• Tennessee Bar Required
