Job Overview
A prestigious Am Law firm is seeking a Corporate M&A and Private Equity Associate Attorney with 5–7 years of experience to join its Houston office. This role focuses on sophisticated mergers and acquisitions and private equity transactions, offering direct exposure to high-value deals and sponsor-side work.
This partner-track position provides the opportunity to work closely with private equity sponsors and portfolio companies throughout the investment lifecycle, while gaining leadership experience in structuring and negotiating complex transactions.

Key Responsibilities
• Draft and negotiate acquisition agreements and related transaction documents
• Support private equity sponsors and portfolio companies across the full investment lifecycle
• Structure and execute middle-market M&A and private equity deals
• Manage client relationships and provide strategic transactional advice
• Collaborate with cross-functional teams on complex deal execution
• Lead key components of transactions and supervise junior team members

Qualifications
• 5–7 years of experience as a Corporate M&A Associate Attorney or Private Equity Attorney
• Strong experience in mergers and acquisitions and private equity transactions
• Proven ability to draft and negotiate acquisition agreements independently
• Admission to the Texas Bar required or eligibility to become licensed
• Strong interpersonal, communication, and client management skills
• Ability to thrive in a fast-paced, deal-driven environment
