Position Overview

Our client is seeking a seasoned corporate attorney to partner closely with internal business leaders and deliver practical, business-focused legal guidance. This role supports a wide scope of commercial and corporate matters in a fast-moving, rapidly evolving environment.

Key Responsibilities

Commercial Contracting & Transactions

  • Prepare, evaluate, and negotiate a broad portfolio of commercial contracts, including:
  • • Customer charter agreements
  • • Strategic sourcing and vendor contracts
  • • Aircraft service and MRO support agreements
  • • Airport and facilities leases
  • • Ground handling, fueling, catering, and logistics arrangements
  • Build, refine, and manage contract templates and playbooks to improve procurement efficiency.
  • Advise procurement teams on contract structure, risk distribution, and supplier-related disputes.
  • Support major corporate initiatives such as joint ventures and acquisitions.
  • Provide primary legal oversight for IT-related agreements.
  • Counsel the business on data protection, cybersecurity obligations, and data processing issues.

Corporate Governance & General Counsel Support

  • Serve as a day-to-day legal advisor across business units on general corporate matters.
  • Contribute to governance efforts, policy creation, and compliance programs.
  • Help oversee corporate branch management and related filings.
  • Assist in resolving disputes, handling claims, and managing pre-litigation issues.
  • Coordinate with outside counsel when specialized expertise is required.
  • Partner cross-functionally with procurement, finance, operations, compliance, and executive teams.
  • Convert legal considerations into practical, strategic recommendations for the business.
  • Participate in ongoing process improvement efforts for legal operations and contract lifecycle management.

Qualifications

  • Juris Doctor (JD) required.
  • 3–10 years of relevant corporate/commercial law experience (law firm or in-house).
  • Active admission to the New York bar.
  • Thrives in a fast-paced, entrepreneurial environment.
  • Proven ability to work effectively with senior leadership.
  • Hands-on, roll-up-your-sleeves approach suited for a lean team.
  • Excellent communication, interpersonal, and collaboration skills.
  • High degree of integrity, professionalism, and attention to detail.
