Overview:
TrustedTech is seeking a proactive and detail-oriented Corporate Counsel to serve as our first in-house legal resource. This role is designed for a high-performing legal generalist who thrives in a fast-paced sales environment. You will be responsible for streamlining our contract lifecycle, managing day-to-day legal inquiries, and ensuring our commercial agreements protect the company’s interests without slowing down revenue. You will act as a bridge between our external firms and internal leadership, providing practical, business-first legal advice.
Responsibilities:
- Full Lifecycle Contract Management: Draft, review, and negotiate a high volume of commercial agreements (MSAs, SOWs, NDAs) while maintaining a strict 24–48 hour turnaround to support sales velocity.
- Legal Operations & Playbooks: Create and maintain a "Legal Playbook" that includes standardized fallback positions and redline responses for the sales and account management teams.
- Privacy & Data Governance: Act as the internal lead for global data privacy compliance (GDPR, CCPA, PIPEDA), ensuring that Data Processing Agreements (DPAs) are in place for all international clients.
- Vendor & Partner Compliance: Review and manage the legal implications of Microsoft Partner Center agreements (ReX/CSP) to ensure no technical or commercial pivots put our partnership status at risk.
- Employment & HR Support: Partner with the People & Culture team to manage employment contracts, offer letters, non-competes, and internal policy updates.
- Risk Reporting: Identify and flag "unresolved risks" in commercial deals, providing the Founder/CVO with clear "Go/No-Go" logic for high-stakes contracts.
- Administrative Oversight: Manage the corporate minute book, state filings, and basic intellectual property (IP) maintenance (trademark renewals/copyrights).
Required Skills & Qualifications (must-haves):
- J.D. from an accredited law school and active, good-standing membership in at least one State Bar.
- 3–5+ years of experience practicing law, with at least 2 years focused on commercial technology transactions (SaaS, Cloud, or Licensing).
- Proven ability to manage a high-volume contract load with a focus on indemnification, limitation of liability, and data privacy clauses.
- Demonstrated experience drafting and negotiating Data Processing Agreements (DPAs) and managing compliance for GDPR and CCPA.
- Ability to translate complex legal risks into simple "business terms" for non-legal stakeholders.
Preferred Skills & Qualifications (nice-to-haves):
- Understanding of the Microsoft Partner ecosystem (CSP/NCE) and how it impacts revenue recognition and contractual flow-downs.
- Previous experience as the "first" or "second" in-house legal hire in a rapidly scaling startup.
- Experience implementing or managing a Contract Lifecycle Management (CLM) or Matter Management system (e.g., Ironclad, LinkSquares).
Working Environment & Compensation Details:
- Type: Onsite (Irvine, CA); in-office Monday - Thursday, WFH on Friday
- Working hours: 6:00 am to 3:00 pm PT OR 7:00 am to 4:00 pm PT
- Compensation Range: $215K - $235K (*DOE )
