The role:

We are seeking a highly skilled and experienced legal professional to serve as Chief Legal Officer at Hippocratic AI. In this key leadership role, you will oversee all aspects of the organization's legal strategy and serve as a valued partner and chief legal advisor to the CEO. Previous involvement in a health tech or a scaling technology company is beneficial. We believe the best ideas happen together, and to support fast collaboration and a strong team culture, this role is expected to be in our Palo Alto office five days a week.


Responsibilities:


Legal Function: Manage all aspects of the legal function for a 250-person, privately-owned Series C Company, including corporate, commercial, product, privacy, IP, litigation, compliance, employment, and Board management. Lead, scale, and manage legal and compliance teams.

Strategic Leadership: Develop and execute legal strategies to support Hippocrative AI’s mission, including risk management and compliance with federal, state, and local laws related to AI, content platforms, technology, and corporate operations. As an integral part of the executive team, provide expert legal advice and guidance to senior management and cross-functional teams.

Commercial & Transactional Leadership: Review, draft, and negotiate contracts, licenses, and agreements. Lead major commercial agreements, strategic partnerships, vendor relationships, and build legal infrastructure to support the function.

Corporate and Governance: Serve as the company's Corporate Secretary and trusted advisor to the CEO and Board of Directors. Oversee and advise on all corporate transactions, including financings, M&A, joint ventures, and other strategic transactions. Ensure corporate compliance, entity management, and governance frameworks scale effectively with the company’s growth.

Regulatory Leadership: Lead the company's effort to help shape AI regulation from the FDA, CMS, or Congress. Prior experience working with legislators is a plus.

Intellectual Property Protection: Safeguard the company’s intellectual property rights. Collaborate with internal stakeholders to identify and protect valuable intellectual property assets.

Data and Privacy Compliance: Stay up to date on data protection laws, regulations, and industry best practices. Ensure Hippocratic AI’s compliance with relevant data privacy and security requirements, including GDPR, CCPA, and HIPAA, in collaboration with the privacy and compliance teams.

Litigation & Dispute Resolution: Direct litigation and resolve conflicts to protect the company’s interests. Manage outside counsel to ensure high-quality, cost-effective, business-aligned outcomes.

Legal Operations & Budgets: Implement and manage legal operations infrastructure, implementing legal tools; oversee the legal budget.


Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school. Active membership in good standing with the Bar Association (California preferred).
  • Minimum of 15 years of legal experience with a proven in-house track record and former top-tier law firm experience.
  • Broad legal experience, including strong knowledge of corporate, commercial, product, privacy, IP, litigation, compliance, and Board Management.
  • A strong leader with experience managing legal teams and understands what a best-in-class legal department looks like and how to recruit, retain, and develop talent.
  • Experience working in the healthcare industry and familiarity with health tech companies and related legal challenges. Proven experience with a startup or high-growth company preferred.
  • A strategic mindset with exceptional judgment, capable of making decisions in dynamic, fast-paced environments.
  • Excellent communication and negotiation skills, with the ability to present complex legal concepts to both legal and non-legal stakeholders.
  • Detail-oriented and organized, with the ability to manage multiple projects simultaneously and meet deadlines.
  • Demonstrated ability to thrive in a fast-paced, dynamic environment and work collaboratively across cross-functional teams.
  • Ability to be in the Palo Alto office 5 days/week and travel up to 25%.


Compensation:

  • The compensation package for this role is based on multiple factors, including job level, responsibilities, location, and candidate experience. The base compensation range is $350,000-$400,000.00.
