LHH Recruitment Solutions is assisting our client, a global alternative investment firm, in their UNPOSTED search for an Associate General Counsel. The ideal candidate will have 5+ years of relevant experience in a transactional practice (Project Finance, M&A, Debt Finance, Real Estate, etc. ). Ideally, they need someone with real asset debt lending or financing.


The office is in NYC, and it is a hybrid work environment.


Please see below for some Key Responsibilities:


* Managing outside counsel and negotiating complex transactional documents, such as purchase and sale agreements, project finance agreements, credit agreements, streaming agreements, royalty agreements, loan agreements, equity subscription agreements, joint venture agreements, etc.

* Drafting, revising, and negotiating NDAs.

* Advising on legal and regulatory issues related to our fund formation, fundraising, investment strategy, portfolio management, compliance, governance, etc.

* Managing arbitration, disputes and claims involving our funds, portfolio companies, and counterparties.

* Developing and implementing best practices, policies, and procedures to mitigate legal risks and ensure compliance with applicable laws and regulations.

* Supervising and coordinating external counsel and other service providers in various jurisdictions.
