Your Responsibilities

As an Assistant General Counsel for Deere and Company World Headquarters located in Moline, IL, you will:

  • Prepare and review public company disclosures and filings with the Securities and Exchange Commission in compliance with the Securities Exchange Act of 1934, including the Annual Report, 10-K, 10-Q, 8-K, and other required filings (11-K, SD, etc.)
  • Collaborate with internal teams on the quarterly earnings release, timely reporting, disclosure controls, and support and maintain minutes for the Disclosure Committee
  • Review all sustainability reports and disclosures, and support adherence to extended producer responsibility (EPR) reporting requirements
  • Ensure compliance with all New York Stock Exchange (NYSE) listing standards
  • Support U.S. capital markets activities for Deere & Company, its captive financial entity, John Deere Capital Corporation, and related finance entities, in compliance with the Securities Act of 1933, including shelf registration statements, offering documents, due diligence, transactional disclosures, and related compliance activities

What Skills You Need

  • 10 to 15 years of corporate and securities law experience (law firm and/or in-house)
  • Strong public company reporting and capital markets experience
  • Deep understanding of federal securities laws and regulations, corporate law, NYSE listing standards, and corporate governance and sustainability disclosure best practices
  • Excellent drafting and communication skills and the ability to manage multiple workstreams in a fast-moving environment
  • High level of professionalism, attention to detail, and judgment

Education

Ideally you will have a degree or equivalent related work experience in the following:

  • J.D. from an accredited law school
  • Admitted to practice in Illinois, or a U.S. state with ability to gain admission in Illinois
